Listing Terms (for Listed Vendors)

These Terms set out the agreement between vendors wishing to list their services on AI BEST SEARCH and init Inc., the operator of this service. For the terms that apply to site visitors, see the Terms of Service; for how we verify and update the information we publish, see our Editorial Policy.

Article 1 (Application)

These Listing Terms (hereinafter the "Terms") set forth the rights and obligations between init Inc. (hereinafter the "Company") and any business that wishes to be listed, or is listed, on the web media "AI BEST SEARCH" (hereinafter the "Service") operated by the Company (such business hereinafter the "Listed Vendor"), with respect to the listing of its services.

  1. 1.A Listed Vendor is deemed to have agreed to these Terms at the time it applies for a listing.
  2. 2.Matters not stipulated in these Terms are governed by the Terms of Service of the Service. Where these Terms and the Terms of Service differ with respect to listings, these Terms prevail.
  3. 3.Where the Company and a Listed Vendor have separately agreed on a paid menu, the content of that agreement prevails over these Terms.

Article 2 (Definitions)

The terms used in these Terms are defined as follows.

  1. 1."Listing" means publishing a page or description regarding a Listed Vendor's service on the Service.
  2. 2."Listing Page" means a service detail page, category page, job or business-issue page, article, or any other surface on the Service where a Listed Vendor's service appears.
  3. 3."Free Listing" means a listing carried out at no cost. "Paid Menu" means a listing option for which a separate fee applies, such as the production of a dedicated introductory article or premium placement within a comparison or roundup article.

Article 3 (Application and Screening)

  1. 1.To request a listing, please apply via the Company's designated inquiry form or by email.
  2. 2.The Company screens applications against the listing criteria published on the Service and other criteria determined by the Company, and decides whether to publish the listing.
  3. 3.The decision to publish a listing is made at the Company's discretion, and the Company is under no obligation to disclose its screening criteria or the reasons for its decision. As a result of screening, the Company may decline to publish a listing.
  4. 4.As an independent third-party media outlet, the Company may list a service at its own discretion based on publicly available information, whether or not the Listed Vendor has applied.

Article 4 (Listing Fees)

  1. 1.No fee applies to a Free Listing. The Company also writes the body of the Listing Page, so no manuscript is required from the Listed Vendor.
  2. 2.The price, listing period, and content of a Paid Menu are determined by separate agreement, such as a quotation or purchase order presented by the Company.
  3. 3.Content produced or published on a paid basis is marked as "PR" or similar, distinguishing it from a Free Listing.
  4. 4.Whether or not a fee is paid does not affect the description of facts, the assessment, or the conclusions of any comparison.

Article 5 (Creation of Listing Content and Editorial Control)

  1. 1.The body of a Listing Page is written by the Company based on publicly available primary sources.
  2. 2.Final authority over the content, wording, placement, ordering, and all other matters relating to a listing rests with the Company.
  3. 3.The methods used to verify listed information and the rules for how it is described are governed by the Editorial Policy of the Service.
  4. 4.The Listed Vendor acknowledges that a Listing Page is editorial content created by the Company and is not advertising copy of the Listed Vendor.

Article 6 (Information and Materials Provided by the Listed Vendor)

  1. 1.The Listed Vendor warrants that the information it provides to the Company is accurate and up to date and does not infringe the rights of any third party.
  2. 2.With respect to materials provided to the Company (including logos, screenshots, images, videos, and text), the Listed Vendor grants the Company a royalty-free license to reproduce, publicly transmit, translate, and modify them (including cropping, resizing, and file-format conversion) to the extent necessary for the listing on the Service and for the promotion and announcement of the Service.
  3. 3.The Company may publish information and images made public on the Listed Vendor's official website or similar sources, with the source clearly indicated.
  4. 4.Trademarks, logos, and other intellectual property rights of the Listed Vendor belong to their respective right holders.

Article 7 (Correction of Listing Content)

  1. 1.If a Listing Page contains an error or outdated information, the Listed Vendor may request a correction via the Company's inquiry form.
  2. 2.The Company corrects factual errors that can be verified against officially published information. No fee applies to such corrections.
  3. 3.The Company cannot publish descriptions that cannot be verified against public information, or descriptions that are contrary to fact. If you provide public information supporting the requested change, the Company will review it again and respond accordingly.
  4. 4.As set out in Article 5, the assessment, the wording, and the order of listings in comparisons and rankings are matters of the Company's editorial judgment and are not subject to correction requests.
  5. 5.Changes such as price revisions, added features, or a change of provider are likewise reflected in the listing after verification against public information.

Article 8 (Change, Suspension, and Removal of Listings)

  1. 1.The Company may change the content or placement of a listing, or suspend or remove it, without prior notice to the Listed Vendor.
  2. 2.A Listed Vendor may request that its listing be withdrawn. Upon receiving such a request, the Company will respond within a reasonable period.
  3. 3.Notwithstanding the preceding paragraph, the Company may continue to publish material to the extent it deems necessary in the interest of the Service's readers, such as references within comparison or roundup articles and statements of the fact that a service has been discontinued or renamed.
  4. 4.Where the Company confirms that a Listed Vendor's service has been discontinued or renamed, the Company may retain the Listing Page rather than delete it, clearly stating that fact.
  5. 5.Suspension of a listing under a Paid Menu and the treatment of fees are governed by the applicable separate agreement.

Article 9 (Prohibited Acts)

In connection with a listing, the Listed Vendor must not engage in any of the following acts.

  1. 1.Providing the Company with false or misleading information
  2. 2.Seeking to change an assessment, the conclusion of a comparison, or the order of listings by offering money or other benefits (excluding an application for a Paid Menu; provided that, even under a Paid Menu, the description of facts and the conclusions of comparisons are not changed)
  3. 3.Unduly interfering with the Company's editorial judgment, or obstructing the Company's operations by repeatedly submitting the same request
  4. 4.Reproducing or republishing all of a Listing Page, or any part beyond the scope of quotation, without the Company's permission
  5. 5.Infringing the rights of a third party, or violating laws, regulations, or public order and morals
  6. 6.Damaging the credibility of the Company or the Service

Article 10 (Copyright in Listing Pages and Statements about Listing)

  1. 1.Copyright in the text, structure, and other elements of a Listing Page created by the Company belongs to the Company.
  2. 2.When introducing a Listing Page on its own website, sales materials, or similar, the Listed Vendor may use it within the scope of quotation, clearly indicating "AI BEST SEARCH" as the source together with the URL of the page.
  3. 3.A Listed Vendor may state that it is listed on the Service.

Article 11 (Disclaimer of Warranties and Limitation of Liability)

  1. 1.The Company does not guarantee any traffic, sales, inquiries, or other results arising from a listing.
  2. 2.The Company does not guarantee search engine visibility, listing order, placement, or any other outcome of a listing.
  3. 3.The Company is not liable for the temporary unavailability of a Listing Page due to system failure, maintenance, or other causes.
  4. 4.With respect to a Free Listing, the Company bears no liability for damages except in cases of the Company's willful misconduct or gross negligence. With respect to a Paid Menu, the Company's liability for damages is limited to the amount of consideration actually received by the Company for that menu, except in cases of the Company's willful misconduct or gross negligence.

Article 12 (Confidentiality)

  1. 1.Neither the Company nor the Listed Vendor may disclose to any third party, without the prior consent of the other party, non-public information disclosed by the other party in the course of discussions regarding a listing or a separate agreement.
  2. 2.The preceding paragraph does not apply to information already publicly known at the time of disclosure, information the Listed Vendor itself has made public, or information required to be disclosed under laws, regulations, or a request from a government authority.

Article 13 (Exclusion of Antisocial Forces)

  1. 1.The Company and the Listed Vendor each represent and warrant that they are not, and will not in the future become, an organized crime group or any other antisocial force.
  2. 2.If either party breaches the preceding paragraph, the other party may suspend the listing or terminate any separate agreement without notice or demand. In such a case, the other party bears no liability for any damages arising therefrom.

Article 14 (Changes to These Terms)

The Company may change these Terms where it deems necessary. The revised Terms take effect when published on the Service. Where a material change is made, the Company will announce it on the Service.

Article 15 (Governing Law and Jurisdiction)

These Terms are governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction in the first instance over any dispute arising between the Company and a Listed Vendor in connection with a listing.
